Pipeline CRM E‑Signature Terms and Conditions

These E‑Signature Terms and Conditions (“E‑Signature Terms”) constitute a binding legal agreement between you (“You”, “Your”, or “Signatory”) and Saas.group Inc. (“Pipeline”, “Licensor”, or “we”) governing your use of the Pipeline CRM e‑Signature Service (the “Service”).
For Pipeline CRM users initiating a signature request, the Pipeline CRM Terms and Conditions (available at https://pipelinecrm.com/terms/) are incorporated herein by reference to the extent applicable. For external Signatories who receive a signature request from a Pipeline CRM Requestor, these E‑Signature Terms shall govern your relationship with Pipeline with respect to the signature process. By using the Service, you agree to be bound by these E‑Signature Terms. If you do not agree to these Terms, do not use the Service.
a. “E‑Signature Service” means the functionality within Pipeline CRM that allows users to create, send, sign, view, download, and store electronic documents.
b. “Requestor” means the Pipeline CRM user who initiates a signature request using the E‑Signature Service and is subject to the Pipeline CRM Terms and Conditions.
c. “Signatory” means any individual (whether a Pipeline CRM user or an external party) who receives a document for electronic signature under the E‑Signature Service.
d. “Electronic Signature” means any symbol, sound, or process attached to or logically associated with a record and executed or adopted by a person with the intent to sign the record.
a. Acceptance:
By accessing or using the E‑Signature Service, you acknowledge that you have read, understood, and agree to be bound by these E‑Signature Terms.
b. Incorporation of Pipeline T&Cs:
For Requestors: Your use of the E‑Signature Service is additionally subject to the Pipeline CRM Terms and Conditions, which are incorporated by reference in their entirety and available at https://pipelinecrm.com/terms/.
For Signatories (Non-Pipeline Users): Your execution of an Electronic Signature on any document using the Service constitutes acceptance of these E‑Signature Terms, independent of any Pipeline CRM account.
a. Legally Binding Signatures:
All electronic signatures provided via the E‑Signature Service shall have the same legal effect as a handwritten signature under applicable law, including, without limitation, the U.S. Electronic Signatures in Global and National Commerce (“ESIGN”) Act, the Uniform Electronic Transactions Act (“UETA”), the European Union’s eIDAS Regulation, and relevant legislation in Australia.
b. Consent to Electronic Transactions:
By using the Service, you expressly consent to conduct transactions and execute documents electronically. You affirm that you have the requisite hardware and software to view, store, and print such electronic documents.
a. Service Overview:
The Service enables a Requestor to prepare an electronic document with pre-populated fields and designate one or more Signatories for signature. The completed document is stored within the Requestor’s Pipeline CRM account and delivered via email to all parties.
b. Authorized Use:
Only individuals authorized by the Requestor or designated by the Requestor may execute an Electronic Signature. Each signature is associated with the specific email address or account used to sign the document. Misuse or unauthorized use of the Service is strictly prohibited.
a. Initiation:
A Requestor may generate a document within Pipeline CRM, prefill available information, and select one or more recipients (internal or external) for signature.
b. Signature Order and Cancellation:
The Requestor may specify the order in which Signatories must sign and may cancel any pending signature request at any time. Upon cancellation, all designated parties will receive a notification via email.
c. Finalization and Record Retention:
Upon successful execution of all required Electronic Signatures, the Service finalizes the document. A completed copy is stored within the Requestor’s Pipeline CRM account and transmitted by email to all Signatories. Each party is responsible for downloading or archiving the finalized document for its own records.
a. Access and Authentication:
You are solely responsible for maintaining the confidentiality of your account credentials (if applicable) and preventing unauthorized access to your devices. Pipeline CRM shall not be liable for any unauthorized access due to negligence on your part.
b. Data Transmission:
While Pipeline CRM employs commercially reasonable measures to protect data transmitted via the Service, we do not guarantee that such transmissions are free from interception or other security breaches. By using the Service, you acknowledge and accept these inherent risks.
a. Jurisdictional Compliance:
Your use of the Service is subject to all applicable local, state, national, and international laws and regulations. It is your responsibility to ensure compliance with such laws.
b. Industry-Specific Retention:
Certain industries are subject to specific document retention requirements. The Service is provided “as is,” and it is your responsibility to determine whether the Service meets any applicable industry or regulatory requirements.
a. External Signatories:
For documents sent to external email addresses, your interactions with the document (including the execution of an Electronic Signature) are governed solely by these E‑Signature Terms.
b. Third‑Party Tools:
The Service may interface with third‑party applications (e.g., email services, cloud storage providers). Pipeline CRM is not responsible for the performance, security, or reliability of such third‑party services. You should review the terms and conditions of any third‑party provider prior to use.
Once a document is finalized and executed by all required parties, its content shall not be altered. Any modification or amendment to a finalized document requires initiation of a new signing process. The Service maintains an audit trail of all signatures and modifications for verification purposes.
a. Disclaimer:
The E‑Signature Service is provided as an integrated feature of your Pipeline CRM subscription at no additional charge and is offered on an “as is” and “as available” basis. To the fullest extent permitted by law, Pipeline CRM disclaims all warranties, express or implied, including, without limitation, warranties of merchantability, fitness for a particular purpose, and non‑infringement.
b. Limitation of Liability:
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIPELINE CRM SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR CLAIMS ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE E‑SIGNATURE SERVICE OR ANY BREACH OF THESE TERMS, WHETHER DIRECT, INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL. This limitation applies whether you are a Pipeline CRM Requestor or an external Signatory. Your exclusive remedy in the event of dissatisfaction with the Service is to discontinue its use.
Pipeline CRM reserves the right to modify, update, or discontinue the E‑Signature Service or these E‑Signature Terms at any time without prior notice. Any modifications shall be effective immediately upon posting to the Pipeline CRM website or the Service. Continued use of the Service following any such modifications constitutes acceptance of the updated terms.
These E‑Signature Terms shall be governed by, and construed in accordance with, the laws specified in the Pipeline CRM Terms and Conditions (available at https://pipelinecrm.com/terms/). Any dispute arising out of or relating to the E‑Signature Service shall be resolved in accordance with the dispute resolution and arbitration provisions contained in the Pipeline CRM Terms and Conditions.
a. Entire Agreement:
These E‑Signature Terms constitute the entire agreement between you and Pipeline CRM with respect to the E‑Signature Service and supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.
b. Severability:
If any provision of these E‑Signature Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
c. Waiver:
Failure by Pipeline CRM to enforce any provision of these Terms shall not constitute a waiver of its right to enforce that provision in the future.
By using the Pipeline CRM E‑Signature Service, you acknowledge that you have read, understood, and agree to be bound by these E‑Signature Terms and Conditions.
